Terms and Conditions for IQ Technologies N.V.
These Terms of Service govern your use of our website and services. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms
By accessing and using the services provided by IQ Technologies N.V. ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement.
If you do not agree to abide by the above, please do not use this service.
2. Description of Service
IQ Technologies N.V. provides AI solutions, software development, and technology consulting services, including but not limited to:
- AI and Machine Learning solutions and consulting
- Web development and web application development
- Mobile application development (iOS and Android)
- SaaS application development and deployment
- Application audit, review, and documentation services
- Digital transformation consulting
- Custom software development
- Cloud infrastructure and deployment services
- Technical documentation and user documentation
- Ongoing support and maintenance services
Our services are provided to government organizations, enterprises, NGOs, and regional organizations across Suriname, CARICOM, and Latin America.
3. Service Agreements
Specific services will be provided pursuant to separate service agreements, statements of work, or contracts ("Service Agreements") that detail the scope, deliverables, timelines, and fees for each project.
These Terms of Service apply to all services unless explicitly modified by a Service Agreement. In case of conflict, the Service Agreement shall prevail.
4. User Accounts and Registration
When you create an account with us or access our client portals or SaaS applications, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding your password and for all activities that occur under your account.
You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account.
5. Payment Terms
Payment terms for our services are as follows:
- Payment is due according to the terms specified in your Service Agreement, statement of work, or invoice
- Late payments may incur additional charges or interest as specified in your agreement
- All prices are exclusive of applicable taxes unless otherwise stated
- Payment methods and schedules will be agreed upon in writing before service delivery begins
- Refunds are subject to our refund policy as outlined in your Service Agreement
- For SaaS subscriptions, billing will occur on a recurring basis as specified in your subscription agreement
6. Intellectual Property Rights
Unless otherwise specified in a Service Agreement, all intellectual property rights in custom-developed software, applications, code, designs, documentation, and deliverables created by IQ Technologies N.V. for you shall be assigned to you upon full payment. We retain rights to our pre-existing intellectual property, methodologies, tools, and frameworks used in providing services.
Our website, SaaS applications, and proprietary software remain the exclusive property of IQ Technologies N.V. and are protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.
7. Client Responsibilities
To enable us to provide services effectively, you agree to:
- Provide accurate, complete, and timely information and materials necessary for service delivery
- Designate authorized representatives for decision-making and approvals
- Review and provide feedback on deliverables in a timely manner
- Ensure appropriate access to systems, data, and resources needed for project execution
- Comply with all applicable laws and regulations in your use of our services
- Use services and deliverables only for lawful purposes
8. Prohibited Uses
You may not use our services:
- For any unlawful purpose or to solicit others to perform unlawful acts
- To violate any international, federal, provincial, state, or local regulations, rules, laws, or ordinances
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
- To submit false or misleading information
- To upload or transmit viruses, malware, or any other type of malicious code
- To interfere with or disrupt our services, servers, or networks
- To attempt to gain unauthorized access to our systems, accounts, or data
9. Service Availability and Modifications
We strive to maintain high service availability, but we do not guarantee that our website or SaaS applications will be available at all times. We may experience hardware, software, network issues, or need to perform maintenance.
We reserve the right to modify, suspend, or discontinue any service (or any part thereof) temporarily or permanently at any time with or without prior notice. We will make reasonable efforts to notify clients of significant changes or interruptions.
10. Limitation of Liability
To the maximum extent permitted by law, IQ Technologies N.V., nor its directors, employees, partners, agents, suppliers, or affiliates, shall be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.
Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim in the twelve (12) months preceding the claim.
11. Warranties and Disclaimers
We provide services on an "as is" and "as available" basis. While we strive for quality and reliability, we make no warranties, expressed or implied, regarding the services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that our services will meet all your requirements, be uninterrupted, error-free, secure, or free of viruses or harmful components. Specific warranties, if any, will be detailed in your Service Agreement.
12. Indemnification
You agree to defend, indemnify, and hold harmless IQ Technologies N.V. and its employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another party.
13. Confidentiality
We respect the confidentiality of your business information and project details. We will maintain reasonable safeguards to protect confidential information disclosed to us in connection with our services.
Unless otherwise specified in a Service Agreement, both parties agree to keep confidential any proprietary or sensitive information shared during the course of service delivery, subject to applicable legal obligations.
14. Termination
We may terminate or suspend your account and access to our services immediately, without prior notice or liability, at our sole discretion, for any reason including but not limited to a breach of these Terms.
If you wish to terminate services, termination procedures and obligations will be detailed in your Service Agreement. Upon termination, your right to use our services will cease immediately, and we may delete your account and data in accordance with our data retention policies.
15. Governing Law
These Terms shall be interpreted and governed by the laws of Suriname, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Suriname, unless otherwise specified in a Service Agreement.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect, which may include email notification to registered users or a notice on our website.
What constitutes a material change will be determined at our sole discretion. Continued use of our services after changes become effective constitutes acceptance of the new terms.
